Nemanja Živanić has worked as a lawyer in different field of commercial businesses, including work in banking and  commercial sectors and advocacy.  His specialty is banking law, insurance, public procurement and real estate. He has provided legal consultancy services in all matters related to public procurement issues – verification of tender documentation, correspondence with tender commissions, drafting of legal remedies before the Commission for Protection of Bidders’ Rights etc. Nemanja Živanić provides full support through the entire process of company incorporation or liquidation, estate proceedings, mortgaging and leasing of real estates, extra-judicial procedures, questions of inheritance law and all areas of personal and property insurance issues.

- Advising Delta Holding with respect to credit facility of EUR 80mn granted by the banking syndicate led by Banca Intesa, for development of Shopping mall Delta City 67 Belgrade;

- Advising Alpha Bank S.A. in relation to EUR 65mn project financing for development of office and residential complex of Blue House located in Belgrade;

- Advising Atlas Group with respect to  the credit facility of EUR 60mn granted by Marfin Egnatia Bank for development of multifunctional complex Atlas Capital Center located in Podgorica;

- Advising Atlasmont Bank (Podgorica) regarding the structuring of the E-commerce transactions;

- Advising Capital Plaza re. settlement of the loan to Piraeus Bank (of app EUR 55mn);

- Advising various clients, commercial banks and investment funds regarding restructuring and acquisition of numerous cross-border NPL’s (both single loans and loan portfolios);

- Advising Alpha Bank Serbia in various banking transactions;

 

 

Corporate and Commercial law

 

- Advising Delta Holding in numerous privatizations and M&As, such as sale of majority shares in Delta Insurance (now Delta Generali Insurance) to Generali; acquisition of Florida Bell (one of the largest Serbian snacks producer); privatization of Danubius (largest Serbian pastry producer) etc;

- Advising Atlas Group in numerous privatizations and M&As, including privatization of the Military Hospital complex in Meljine (Montenegro); sale of interest in ACC multifunctional real estate project in Podgorica and creation of joint venture with UAE partner for joint development of the project (value of app EUR 140 mn);

- Advising Adriatic Fair for the creation of JV structure with UK investment fund for joint development of Hotel, Fair and Residential complex in Budva (value of app. EUR 180 mn);

- Advising Novoline in relation to the sale of majority shares in Grmec (well known Serbian chemical industry producer);

- Advising Montenegrin – Cypriot consortium on the multilateral settlement and exit project/partnership with the total value exceeding EUR 100mn;

- Participated as the member of the legal team in numerous M&A transactions in Serbia and Montenegro, including the sale of Serbian mobile telephony provider Mobtel (largest transaction in Serbia up to date with the value of over EUR 1,5bn) and privatizations of the major Serbian banks (Panonska banka, Vojvodjanska banka and Jubanka);

- Advising Hellenic Petroleum and Jugopetrol Kotor regarding oil and gas concession for the entire coast of Montenegro granted by Montenegrin Government;

- Advising Rio Tinto with respect to the mineral concession in Jarandol (Serbia);

- Advising Delta Holding regarding the finalization and execution of Hotel Management Agreement concluded with InterContinental for management of future InterContinental Hotel in Belgrade;

- Advising the buyer in acquisition of Hyatt Regency Hotel in Belgrade;

- Advising Metropol Palace Hotel in execution of the Franchise Agreement with Starwood for the franchise of “The Luxury Collection” brand name;
